Agreement to Terms
By accessing steadydays.ai, you agree to these Terms of Service. If you do not agree, please do not use the website.
Services
SteadyDays provides automation, systems design, website development, data platforms, and AI implementation services. Specific deliverables, timelines, ownership terms, and pricing are defined in individual project proposals and are not governed by these website terms.
Intellectual Property
Website IP. The content, design, code, and branding of this website are the property of SteadyDays. You may not reproduce, distribute, or create derivative works from any content on this site without written permission.
Background IP. All intellectual property owned, developed, or licensed by SteadyDays prior to any engagement, or developed independently outside the scope of any client project — including proprietary tools, frameworks, methodologies, templates, and reusable code components ("Background IP") — remains the exclusive property of SteadyDays. Nothing in these Terms or any project proposal shall be construed to transfer ownership of Background IP.
Project Deliverables. Unless expressly stated otherwise in a signed Statement of Work or project proposal, SteadyDays retains all intellectual property rights in work product and deliverables created during client engagements. Upon full payment of all fees, the client receives a non-exclusive, perpetual, royalty-free license to use the deliverables for the client's internal business purposes.
IP Assignment. Transfer of intellectual property ownership to a client occurs only pursuant to express written assignment language in a signed Statement of Work or project proposal. General descriptions of services, deliverables, or project scope shall not be construed as intellectual property assignments.
Residual Knowledge. SteadyDays retains the right to use general knowledge, skills, experience, techniques, and concepts gained during any client engagement, provided such use does not disclose the client's confidential information.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT ON THIS WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL STEADYDAYS, ITS OWNER, OR ITS CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE WEBSITE OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
STEADYDAYS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR ANY SERVICES PROVIDED HEREUNDER SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO STEADYDAYS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE THOUSAND DOLLARS ($1,000), WHICHEVER IS GREATER.
THE FOREGOING LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THIS AGREEMENT SHALL EXCLUDE OR LIMIT LIABILITY FOR (A) FRAUD OR FRAUDULENT MISREPRESENTATION, (B) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR (C) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in New York County, New York. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
Entire Agreement
These Terms, together with the Privacy Policy and any signed Statement of Work or project proposal, constitute the entire agreement between you and SteadyDays regarding the subject matter hereof and supersede all prior negotiations, representations, and agreements, whether written or oral. No modification of these Terms shall be effective unless in writing and acknowledged by SteadyDays.
Waiver
The failure of SteadyDays to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by the waiving party.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, internet or telecommunications failures, third-party service outages, or power outages. The affected party shall promptly notify the other party and use commercially reasonable efforts to mitigate the impact.
Assignment
You may not assign or transfer these Terms or any rights hereunder without the prior written consent of SteadyDays. SteadyDays may assign these Terms in connection with a merger, acquisition, or reorganization. Any purported assignment in violation of this section shall be void.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Each party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in New York County, New York, for the resolution of any disputes arising out of or relating to these Terms. Each party waives any objection to the laying of venue in such courts and any claim that such courts constitute an inconvenient forum.
Changes
We may update these terms at any time. Continued use of the website constitutes acceptance of any changes.
